1. Agreement to Terms

By accessing or using Blue Phoenix Processing services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

2. Use License

Permission is granted to temporarily use Blue Phoenix Processing services for personal, non-transferable use only. This license shall automatically terminate if you violate any of these restrictions.

Under this license you may not:

Modify or copy the materials or services
Use the materials or services for any commercial purpose without written consent
Attempt to decompile or reverse engineer any software contained within our services
Remove any copyright or proprietary notations from the materials
Transfer the materials to another person or entity

3. Merchant Services

3.1 Service Description

Blue Phoenix Processing provides payment processing services, including but not limited to credit card processing, debit card processing, and related merchant services. All services are subject to approval and underwriting requirements.

3.2 Merchant Obligations

As a merchant using our services, you agree to:

Provide accurate and complete information during application and account setup
Comply with all applicable payment card industry (PCI) standards and regulations
Not process transactions for illegal goods or services
Maintain reasonable security measures to protect cardholder data
Promptly respond to customer disputes and chargebacks
Maintain adequate reserves as required by underwriting

3.3 Processing Fees

All fees associated with our services are outlined in your Merchant Processing Agreement. Fee structures may vary based on your business type, processing volume, and risk profile. Our 0% Processing Program allows qualifying merchants to pass processing fees to customers through a cash discount program, in compliance with applicable regulations.

4. Account Terms

4.1 Account Creation

To use our services, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4.2 Account Termination

We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion, particularly if we believe there is fraudulent activity, violation of these terms, or risk to our services or other merchants.

5. Prohibited Uses

You may not use our services for any of the following purposes:

Any unlawful purpose or to solicit others to perform unlawful acts
To violate any international, federal, state, or local regulations
To infringe upon or violate our intellectual property rights or the rights of others
To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
To submit false or misleading information
To engage in fraudulent activity of any kind
To process payments for high-risk or prohibited business types without proper approval

6. Chargebacks and Disputes

You are responsible for all chargebacks and disputes related to transactions processed through your account. We may deduct chargeback amounts and associated fees from your account or reserves. Excessive chargebacks may result in account termination and placement on industry monitoring programs.

7. Equipment and Technology

Any equipment provided as part of our services remains our property unless otherwise specified in writing. You are responsible for the care and proper use of all equipment. Lost, stolen, or damaged equipment may result in replacement fees.

8. Data Security and PCI Compliance

You agree to comply with the Payment Card Industry Data Security Standard (PCI DSS) and maintain appropriate security measures to protect cardholder data. We provide tools and support to help you maintain compliance, but ultimate responsibility for compliance rests with you as the merchant.

9. Limitation of Liability

In no event shall Blue Phoenix Processing or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use our services, even if we have been notified of the possibility of such damage.

Our total liability to you for all claims arising from or related to these terms or our services shall not exceed the fees paid by you to us in the three months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Blue Phoenix Processing and our partners, employees, and affiliates from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of these Terms of Service, your violation of any law, or your violation of the rights of a third party.

11. Modifications to Terms

We reserve the right to modify these terms at any time. We will notify you of any changes by posting the new Terms of Service on this page and updating the "Last Updated" date. Your continued use of our services after such modifications constitutes your acceptance of the updated terms.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of Texas.

13. Severability

If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms of Service shall otherwise remain in full force and effect.
